Job Description

Job Title: Corporate Governance Manager

Job Description: This is a senior-level governance role responsible for corporate governance frameworks, regulatory compliance structures, board and committee operations, and policy management — spanning HALA’s multiple licensed entities in UAE, Saudi Arabia, and Egypt. The Corporate Governance Manager will build and maintain governance structures across all entities, ensuring regulatory compliance and effective oversight.

Responsibilities:*

  • Design and maintain the corporate governance framework across HALA’s licensed entities
  • Manage board and committee secretariat functions including agenda planning, minutes, resolutions, action tracking, and evidence filing
  • Develop and maintain policies, procedures, and governance documentation aligned with SAMA and FSRA requirements
  • Coordinate regulatory submissions, compliance reports, and audit-readiness documentation
  • Manage regulatory obligations tracking, SAMA commitments, and deadline monitoring
  • Lead policy lifecycle management from drafting through approval, publication, and periodic review
  • Implement governance gates for high-impact changes across business processes and products
  • Produce governance reporting for senior stakeholders including policy compliance status, open regulatory items, and remediation progress
  • Partner with Legal, Compliance, Risk, Finance, and operational teams to embed governance standards

Qualifications Needed:

  • 7+ years of experience in corporate governance, regulatory compliance, or company secretarial functions
  • Strong familiarity with SAMA regulations and the Saudi regulatory environment for licensed payment service providers
  • Experience in board/committee governance, delegation of authority, and governance documentation
  • Background in fintech, banking, or regulated financial services required
  • Strong written communication — clear minutes, policies, board packs, and regulatory reports
  • Professional qualifications (e.g., CGI, paralegal, or compliance certifications) are a strong plus
  • Leadership experience and strong stakeholder management skills
  • Must be based in or willing to relocate to Riyadh; Saudi national preferred
