Job Title: Senior Associate – Corporate / Mergers & Acquisition

Job Description: As a Senior Associate in the Corporate and Mergers and Acquisitions practice at a globally leading international law firm, you will be responsible for advising corporate and financial sponsor clients on complex M&A transactions, joint ventures, and restructurings across the UAE and MENA region. You will work closely with SWFs, national and multinational corporations, and regional and global funds and family offices on corporate advisory and M&A mandates.

Responsibilities:

• Advise corporate and financial sponsor clients on complex M&A transactions, joint ventures, and restructurings across UAE and MENA
• Work closely with SWFs, national and multinational corporations, and regional and global funds and family offices
• Draft and negotiate transaction documents — SPA, SHA, merger agreements, and related M&A documentation
• Conduct legal due diligence for M&A transactions — reviewing target company legal, regulatory, and contractual exposures
• Support senior partners on complex M&A, joint venture, and restructuring advisory mandates
• Manage client relationships through professional advisory delivery on corporate M&A transactions
• Coordinate with product specialists, tax advisors, and regulatory counsel on complex M&A deal execution
• Stay current on UAE and MENA M&A law, corporate governance developments, and regulatory changes

Qualifications Needed:

• Proven senior associate M&A or corporate advisory experience within a leading law firm
• Deep understanding of UAE and MENA M&A transaction dynamics and corporate law
• Strong legal drafting, due diligence, and transaction management skills for complex M&A mandates
• Experience advising SWFs, corporations, and family offices on corporate and M&A matters preferred
• Excellent client management and business development aptitude for senior associate engagement
• Arabic language skills advantageous for UAE and MENA M&A client engagement
