Job Title: Governance Manager

Job Description: As Governance Manager at Saudi Arabia’s first fintech unicorn, you will be the focal point for governance matters, ensuring the organization’s activities, decisions, and documentation align with applicable regulatory requirements and internal governance standards, working closely with Legal, Compliance, and Risk teams to coordinate governance forums, approvals, and SAMA regulatory engagement.

Responsibilities:

• Develop, maintain, and continuously improve the company’s governance framework, including committees, charters, RACI, and escalation paths
• Own the Policy Governance Framework end-to-end, covering policy lifecycle, ownership, periodic reviews, approvals, version control, and publication
• Maintain a structured regulatory obligations register linking SAMA requirements to internal policies, controls, and evidence artifacts
• Coordinate inputs and internal reviews for SAMA requests, ensuring responses are accurate, consistent, and supported by evidence
• Own the governance process for SAMA observations, including logging, assigning owners, setting milestones, and tracking remediation progress
• Act as governance secretariat for relevant committees, managing cadence, agendas, minutes, and decision documentation
• Implement governance gates for high-impact changes affecting policies, controls, risk acceptances, and customer-impacting processes
• Produce governance reporting for senior stakeholders, including policy compliance status and upcoming SAMA deadlines

Qualifications Needed:

• Bachelor’s degree in Business Administration, Law, or a related field
• 5–8 years of experience in Corporate Governance
• Experience within banking or financial institutions in the Saudi market, with familiarity with SAMA and CMA regulations
• Strong grasp of board and committee operations, policy governance, and document control
• Strong executive communication and writing skills, with the ability to produce clear minutes, memos, and policies
• High attention to detail, confidentiality, and sound judgment with sensitive information
