Job Title: Legal & Corporate Secretary – Cross-Function AVP

Job Description: As a Legal and Corporate Secretary Cross-Function Assistant Vice President at a globally established Japanese banking group with DIFC operations, you will provide legal and corporate secretarial support across the SMBC Middle East and Africa footprint — applying strong understanding of legal terminology, regulatory frameworks, and banking corporate governance to a cross-functional AVP role serving the regional legal and governance teams.

Responsibilities:

• Provide legal and corporate secretarial support across the SMBC Middle East and Africa footprint
• Apply strong understanding of legal terminology and regulatory frameworks to AVP-level cross-functional activities
• Support corporate governance — Board documentation, entity maintenance, and regulatory filings for MEA entities
• Coordinate with the STPD-Legal team, external lawyers, and regulatory bodies on corporate secretarial matters
• Draft corporate governance documentation, Board minutes, resolutions, and regulatory submissions
• Manage corporate secretarial records — maintaining accurate entity registers and statutory compliance documentation
• Support the Legal team across the full lifecycle of cross-function legal and governance activities
• Monitor regulatory and corporate law developments affecting SMBC’s MEA entity governance and compliance

Qualifications Needed:

• Proven legal and corporate secretarial experience at AVP level within a globally established bank or financial institution
• Strong understanding of legal terminology, corporate governance, and banking regulatory frameworks
• Prior interaction with regulators and banking partners preferred
• Excellent written and verbal communication for corporate governance documentation and regulatory engagement
• Understanding of DIFC, ADGM FSRA, and UAE corporate governance regulatory requirements preferred
• Arabic language skills advantageous for UAE regulatory and governance engagement
